Interpretation and Definitions

Interpretation

The words in which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and Valiant Digital Technologies LLP. These Terms set forth the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned upon Your acceptance of and compliance with these Terms and Conditions. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions, then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned upon Your acceptance of and compliance with our Privacy Policy. Our Privacy Policy outlines our policies and procedures regarding the collection, use, and disclosure of Your personal information when You use the Service and informs You of Your privacy rights and how the law protects You. Please read our Privacy Policy carefully before using our Service.

Subscriptions

Subscription Period

The Service, or certain parts of it, are accessible only through a paid Subscription. When purchasing a Subscription, You will be billed in advance on a recurring basis (such as daily, monthly, quarterly, or annually) depending on the plan You select. The billing cycle for Your Subscription is based on the duration You choose during purchase.

At the end of each billing cycle, Your Subscription will automatically renew under the same conditions unless You cancel it or Qonta cancels it. You may cancel Your Subscription renewal at any time before the renewal date.

Subscription Cancellations

You can cancel the automatic renewal of Your Subscription either through Your Account settings or by reaching out to our support team. No refunds will be issued for the fees already paid for the current Subscription period, but You will continue to have access to the Service until the end of that period.

Billing

You are required to provide accurate and up-to-date billing information, including Your full name, address, contact number, and a valid payment method. If automatic billing fails for any reason, we will issue an electronic invoice. You must manually complete payment by the deadline specified in the invoice to avoid disruption in Your service.

Refunds

Unless required by law, paid Subscription fees are non-refundable. However, we may review certain refund requests on a case-by-case basis and approve refunds at our sole discretion.

Free Trial

Qonta may offer a limited Free Trial for new users or new Subscription plans, at our sole discretion. We reserve the right to modify or cancel the Free Trial offer at any time without prior notice. After the Free Trial period ends, You will be automatically charged for the Subscription unless You cancel before the end of the trial.

User Accounts

When creating an account with Us, You are required to provide accurate, complete, and current information. Failure to do so may result in the immediate termination of Your account.

You are responsible for maintaining the confidentiality of Your password and for all activities that occur under Your account. Whether Your password is set for Our Service or through a third-party integration, You must not share it with anyone. If You become aware of any unauthorized use of Your account, You must notify Us immediately.

Your username must not infringe on the rights of others. You are not permitted to use a name or trademark belonging to another person or entity without proper authorization, nor should Your username be offensive, vulgar, or obscene.

Content

Your Right to Post Content

Qonta’s Service allows You to post Content. You are responsible for the legality, reliability, and appropriateness of the Content You share.

By posting Content on our Service, You grant Qonta the right to use, modify, publicly perform, display, reproduce, and distribute such Content within our platform. However, You retain ownership and full rights over the Content You post. It is Your responsibility to ensure that You have the appropriate rights to share the Content.

Content Restrictions

Valiant Digital Technologies LLP is not responsible for the content shared by users on the Service. You expressly understand and agree that You are solely responsible for the Content You post, and for all activity that occurs under Your account, whether by You or by any third party using Your account.

You may not post, share, or transmit any Content that is unlawful, offensive, upsetting, threatening, libelous, defamatory, obscene, or otherwise objectionable. Examples of objectionable Content include, but are not limited to:

Qonta reserves the right to review and, if necessary, remove Content that violates these Terms. The Company may also edit or format Content as deemed appropriate. If You post objectionable Content, Qonta reserves the right to limit or revoke Your access to the Service.

You acknowledge that by using the Service, You may be exposed to content that You find offensive or inappropriate. Qonta is not liable for any content posted by users or third parties, including any errors or omissions or any damage resulting from Your use of such content.

Content Backups

While Qonta performs regular backups of Content, We do not guarantee that no data loss or corruption will occur. Corrupted backups may result from issues with the Content prior to backup or changes made during the backup process.

We will make reasonable efforts to resolve issues related to Content backups, but You agree that Qonta is not liable for any failure to restore Content successfully. You are responsible for maintaining a separate and accurate copy of Your Content outside the Service.

Copyright Policy

Intellectual Property Infringement

We respect the intellectual property rights of others and respond to any claim that Content posted on the Service infringes on a copyright or other intellectual property rights. If You believe Your work has been copied in a way that constitutes infringement, please notify our copyright agent at [email protected], providing a detailed description of the infringement.

You may be held liable for damages, including costs and attorneys' fees, for any misrepresentation regarding copyright infringement.

DMCA Notice and Procedure for Copyright Infringement Claims

If You are a copyright owner, or authorized to act on behalf of one, and You believe that a copyrighted work has been infringed, You may submit a notice under the Digital Millennium Copyright Act (DMCA) with the following information:

Our Service may contain links to third-party websites or services that are not operated or controlled by Qonta. We do not have control over, and are not responsible for, the content, privacy policies, or practices of these third-party websites.

You acknowledge that Qonta is not liable for any loss or damage caused by Your use of any third-party website or service. We recommend that You read the terms and privacy policies of these external websites before using them.

Termination

Qonta reserves the right to terminate or suspend Your account without notice or liability if You breach these Terms. Upon termination, Your right to use the Service will cease immediately. You can terminate Your account by discontinuing use of the Service.

Limitation of Liability

To the maximum extent allowed by law, Qonta and its suppliers shall not be liable for any special, incidental, indirect, or consequential damages (such as loss of data, business interruptions, or personal injury) resulting from the use or inability to use the Service, even if We were advised of the possibility of such damages.

In no event shall Qonta's total liability exceed the amount paid by You for the Service or $100 USD if You have not made any purchases.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind. Qonta makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be error-free, secure, or uninterrupted.

Some jurisdictions may not allow the exclusion of certain implied warranties, so these limitations may not apply to You.

Governing Law

These Terms are governed by the laws of India, excluding its conflict of law rules. Your use of the Service may also be subject to other local, state, or international laws.

Dispute Resolution

If You have a dispute regarding the Service, please contact Us to resolve the issue informally before pursuing legal action.

Severability and Waiver

If any part of these Terms is deemed unenforceable, the remaining provisions will continue to be in effect. The failure of either party to enforce any right under these Terms shall not constitute a waiver of future rights.

Changes to These Terms and Conditions

We may modify these Terms at our discretion, and We will provide at least 30 days' notice for significant changes. By continuing to use the Service after the changes take effect, You agree to be bound by the updated Terms.
